Xero Subscription Agreement

We do not charge any fees for initial business consultations. We prefer to know a little more about your business and understand what you need before recommending a suitable solution and making a formal agreement. If we are not the right choice for your particular business, we will be happy to recommend you to another consultant with the expertise and level of service that best suits your needs. 1.2 Additional Use. If you wish to add additional users or increase the number of permitted service events (“Additional Use”), you must contact SFX and SFX will provide the Service for additional use under the terms set forth in this Agreement. With respect to additional use: (i) the duration of additional users` access to the Service will fall into the collection situation with the already existing subscription term (initial term or renewal period), and (ii) you are responsible for any additional charges for any additional use that exceeds the authorized number of users or service events. 85C Notes: Any notice you send to Xero must be sent to legalnotices@xero.com. Any communications we send you will be sent to the email address you provided to us through your subscription. 56.

Exclusion: In some places, there may be non-exclusive warranties, warranties or other rights provided by law (non-excludable warranties). They continue to apply – these Terms do not exclude, restrict or modify them. Except for non-excludable warranties and other rights you have that we cannot exclude, we are only bound by the express promises of these Terms. Our liability for breach of a non-exclusive warranty is limited, at our discretion, to the replacement or payment of the replacement cost of the service in question (unless otherwise specified in the non-exclusive warranty). In this Service Plan, the term “Service” refers only to the following services offered by SFX: SFX – Salesforce Xero. If you purchase subscriptions to any of the Services as set forth on the applicable SFX Purchase Order, the terms of this Service Plan will apply to those Services. You can easily cancel your subscription with one month`s notice in writing. We may also cancel your subscription with the same notice. If you breach these Terms, we may cancel your subscription immediately.

If this availability requirement is not met by SFX during a calendar month and you have been negatively affected (i.e. they have not been able to create output files from the Service and have failed due to the unexpected shutdown of the Service), you may, as your sole and exclusive remedy, terminate this Agreement in accordance with the termination section of the Agreement and receive a refund of all prepaid subscription fees for the remainder of the current subscription term. 45. Subscription Term: Your subscription will continue for the period for which the paid or payable subscription fee applies. At the end of each billing period, these Terms will automatically apply for another period of the same duration as the previous one, provided that you continue to pay the subscription fee in accordance with the pricing plan. You may cancel your subscription at any time by giving one month`s written notice. You must continue to pay all relevant subscription fees up to and including the cancellation date.
